Situation

English company iBase Systems Limited wished to combine with associated Australian company iBase Systems PTY Limited under common ownership. They also wished to use an angel investor to expand the business.

Solution

Both companies were brought together under a UK registered parent company, “iBase Group Limited”. SA Law assisted in the project management of the transaction and produced most of the documentation including shareholder, investment and share exchange agreements and Articles of Association.

Kingston Smith advised on the tax implications of the deal and PriceWaterhouseCoopers in Australia advised on the Australian aspects.

iBase Group is now looking to expand even further using business angel investment.
