Hertfordshire-based commercial legal firm SA Law has been instrumental in the international reorganisation of iBase – specialists in mobile data management systems and related products.
The reorganisation brings two entities – English company iBase Systems Limited and associated Australian company iBase Systems PTY Limited – together into common ownership under a UK registered parent company, iBase Group Limited. The re-organisation was immediately followed by an investment of equity capital by angel investors.
SA Law assisted in the project management of the transaction and produced most of the documentation including shareholder, investment and share exchange agreements and Articles of Association.
The SA Law team was led by Glenn McDonald with assistance from Emma Lambert and Sarah Pinto. Kingston Smith advised on the tax implications and PriceWaterhouseCoopers in Australia advised on the Australian aspects of the deal. The deal completed on 14 July 2005.
Martin Conder, one of the angel investors and an appointed director of iBase Group, comments: “iBase is a young but fast growing business. With help from SA Law we now have a firm platform to support our future development.”

iBase Group is currently looking for further investment from angel investors with the view of securing venture capital funding in the near future.
SA Law was formerly the commercial department of regional law firm Pictons. It launched as an independent limited liability partnership (LLP) on 1 June 2005.
